"Services" encompasses the entire spectrum of offerings provided by Bayscope, including but not limited to: all software applications, web-based platforms, mobile applications, cloud services, infrastructure solutions, consulting services, technical support, maintenance services, training programs, documentation, APIs, tools, features, functions, capabilities, technologies, updates, modifications, enhancements, derivative works, and all related websites, applications, and services, whether existing now or developed in the future. This definition extends to all intellectual property, proprietary information, and any other materials or services that may be provided by Bayscope in connection with the aforementioned offerings.

1.2 Eligibility

We maintain the exclusive right to modify, enhance, suspend, or discontinue any aspect of our Services at any time without prior notification, as we continuously strive to improve and optimize our offerings for our valued clients.

To access and utilize certain premium features and functionalities of our Services, you are required to complete a comprehensive registration process and create a user account. 3. Subscription and Billing Terms

3.1 Subscription Plans

Your subscription will automatically renew at the conclusion of each billing period unless explicitly cancelled through our designated cancellation process. Annual subscriptions may qualify for preferential pricing structures, while monthly and quarterly plans offer greater flexibility in terms of commitment duration. 3.3 Payment Terms

  • All subscription fees must be paid in advance for the entirety of the selected billing period, ensuring uninterrupted access to our services and maintaining account stability
  • Subscription fees are strictly non-refundable unless explicitly specified in special circumstances or required by applicable laws in your jurisdiction
  • We reserve the right to modify our fee structure, pricing plans, and associated costs with appropriate notice period, taking into account market conditions, service enhancements, and operational costs
  • Users are solely responsible for all applicable taxes, including but not limited to sales tax, value-added tax (VAT), goods and services tax (GST), and any other governmental charges or levies that may apply to your subscription
  • Payment processing fees, currency conversion charges, and any additional banking fees are the responsibility of the subscriber
  • Enterprise customers may qualify for custom billing arrangements and special payment terms subject to separate agreements

3.4 Late Payments

We maintain a strict policy regarding late payments to ensure service continuity and maintain operational efficiency. In the event of payment delinquency, we reserve the absolute right to suspend or terminate your access to our Services, either temporarily or permanently, depending on the duration and severity of the payment delay. A late payment fee of up to 5% of the outstanding amount may be applied to overdue accounts, calculated on a monthly basis. Subject to your compliance with these Terms and any other applicable agreements, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services solely for your personal or internal business purposes. By submitting User Content, you grant Bayscope and its affiliates a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit such User Content in any form, media, or technology, whether now known or hereafter developed, and for any purpose, including without limitation for promoting and redistributing part or all of the Services. You represent and warrant that: (i) you own or control all rights in and to your User Content; (ii) your User Content does not violate any third party's intellectual property or other rights; and (iii) you have the right to grant the license described above.

5.4 Trademark Protection

The Bayscope name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Bayscope or its affiliates or licensors. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans appearing on our Services are the trademarks of their respective owners and may not be used without their permission.

5.5 Copyright Infringement

We respect the intellectual property rights of others and expect our users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your content has been copied in a way that constitutes copyright infringement, please provide us with the following information: (i) a physical or electronic signature of the copyright owner; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing; (iv) your contact information; (v) a statement by you that you have a good faith belief that use of the material is not authorized by the copyright owner; and (vi) a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

6. Limitation of Liability

6.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAYSCOPE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (I) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT; (II) ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE; AND (III) ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, ACCURACY, AND PERFORMANCE OF THE SERVICES. BAYSCOPE DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAYSCOPE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO: (I) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (V) ANY OTHER MATTER RELATING TO THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT BAYSCOPE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED, BAYSCOPE'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

6.3 Assumption of Risk

You acknowledge and agree that your use of the Services is at your own risk and that you will be solely responsible for any damage to your computer system, mobile device, or loss of data that results from your use of the Services. You understand and agree that any material or information downloaded or otherwise obtained through the use of the Services is done at your own discretion and risk, and that you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from the download of such material or information.

6.4 Indemnification

You agree to defend, indemnify, and hold harmless Bayscope, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use of the Services; (iii) your User Content; (iv) your violation of any rights of another; or (v) your violation of any applicable laws, rules, or regulations.

7. Termination

7.1 Termination by User

You may terminate your account at any time by following the instructions provided in your account settings or by contacting our customer support team. Upon termination, you will lose access to all Services at the end of your current billing period. Any data associated with your account may be permanently deleted after 30 days from the termination date. If you have any outstanding payments, you will still be responsible for paying these amounts. Additionally, any downloadable content or materials accessed through your subscription will no longer be accessible after termination.

7.2 Termination by Bayscope

We reserve the right to terminate or suspend your access to the Services immediately without prior notice if any of the following circumstances occur:

  • You breach these Terms or any other policies referenced herein, including but not limited to violations of intellectual property rights, acceptable use policies, or community guidelines
  • You fail to pay any fees when due, including after multiple payment attempts or payment disputes
  • We are required to do so by law, court order, or at the request of a governmental authority
  • We cease providing the Services in your jurisdiction or globally
  • We detect suspicious or fraudulent activity associated with your account
  • Your usage of the Services poses a security risk to our platform or other users
  • You engage in behavior that is harmful to other users, our staff, or our business interests
  • We undergo a business reorganization, merger, or acquisition that affects service provision

7.3 Effects of Termination

Upon termination or suspension of your account:

  • All licenses and rights granted to you under these Terms will immediately cease
  • You must stop using all Services and remove any software or content provided through the Services
  • Any outstanding payments or obligations will become immediately due
  • We may retain certain information as required by law or for legitimate business purposes
  • You may request a copy of your data within 30 days of termination, subject to applicable fees and technical limitations

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles. Any disputes, controversies, or claims arising out of or relating to these Terms, including their validity, interpretation, breach, or termination, shall be subject to the exclusive jurisdiction of the courts of Nigeria. You hereby consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction by such courts. Any legal proceedings shall be conducted in English. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
